East African Breweries Sets Oct. 15 AGM, Proposes 8.70-Shilling Final Dividend.

East African Breweries Plc (EABL) will hold its 104th Annual General Meeting virtually on Oct. 15, where shareholders will vote on a proposed final dividend of 8.70 Kenyan shillings per share for the financial year ended June 30, 2026, the company said in a notice published Wednesday.

The Nairobi-listed brewer, a subsidiary of global drinks group Diageo, said the meeting will be held electronically at 11:00 a.m. East Africa Time, with shareholders able to register, submit questions and vote using electronic and USSD-based systems.

The proposed final dividend follows an interim dividend of 4.0 shillings per ordinary share, which was paid on or about April 28, 2026, to shareholders on the register as of Feb. 20, 2026, according to the notice.

If approved by shareholders, the final dividend will bring EABL’s total payout for the 2026 financial year to 12.70 shillings per share. The final dividend, payable net of withholding tax, is due to be paid on or before Oct. 31, 2026, to shareholders registered by close of business on Sept. 19, 2026.

Shareholders will also be asked to re-elect three directors retiring by rotation under the company’s Articles of Association: Felix Okoboi, Paul Makanza and Jimmy Mugerwa, each of whom has offered himself for re-election.

Separately, the AGM will consider a resolution to approve the continued board tenure of Dr. Martin Oduor-Otieno, who has passed the age of 70. Under Kenya’s Code of Corporate Governance Practices for Issuers of Securities to the Public, 2015, directors above that age require shareholder approval to remain in office.

The notice also proposes that Okoboi, Leo Breen, Mugerwa, Ory Okolloh and Andrew Ross continue serving on the company’s Board Audit & Risk Management Committee, contingent on their re-election as directors.

Shareholders will vote on the Directors’ Remuneration Report and on the re-appointment of PricewaterhouseCoopers LLP as the company’s external auditor, with the board authorized to set the audit firm’s fees for the coming financial year, the notice said.

According to the notice, shareholders wishing to take part in the AGM must register electronically by Tuesday, Oct. 13, 2026, at 11:00 a.m. Registration opened on Sept. 23, 2026, and closes at the same time on the registration deadline.

Shareholders can register by dialing a USSD code, sending an email request to the company’s registrar, or visiting the registrar’s website. Those without ID or passport numbers matching their CDSC account records are required to update their details before registering, the company said.

Registered shareholders may submit written questions in advance by email or via the USSD platform before the meeting, or ask questions live during the AGM.

The company said it would group similar questions together and respond to them during the meeting, with any outstanding responses to be published on the company’s website within 24 hours.

Shareholders unable to attend may appoint a proxy electronically or by submitting a signed proxy form to the company’s registrar by Oct. 13, 2026, at 11:00 a.m., the notice said. Proxies do not need to be shareholders themselves.

EABL said the AGM will be streamed live, with a poll conducted electronically on all resolutions. Results of the poll are to be published within 48 hours of the meeting’s conclusion, in two national newspapers and on the company’s website, in accordance with Kenyan corporate governance rules.

The company’s condensed audited financial statements for the year ended June 30, 2026, have already been published alongside the AGM notice, it said.

East African Breweries Plc, headquartered in Nairobi, is one of the largest listed companies on the Nairobi Securities Exchange and one of East Africa’s biggest beverage manufacturers, producing beer and spirits brands across Kenya, Uganda and Tanzania. Diageo Plc holds a majority stake in the company.

The notice was signed by Company Secretary Angela Namwakira and dated Sept. 23, 2026.
